JT Designs – Master Service Agreement (MSA)

1. Parties & Legal Effect

This Master Service Agreement ("Agreement") is entered into between JT Designs ("Service Provider") and the individual or entity engaging the services ("Client"). By engaging, paying for, or continuing to use any service, the Client agrees to be bound by this Agreement.

2. Independent Contractor

JT Designs acts solely as an independent contractor. Nothing herein creates an employment relationship, partnership, joint venture, or agency.

3. Scope of Services

Services include but are not limited to web design, development, branding, graphic design, advertising, digital services, and related technical deliverables. Specific scope, pricing, timelines, and revision limits are defined per quotation or invoice.

Unless otherwise stated, a maximum of three (3) revisions are included. Additional revisions or project restarts constitute new billable work.

4. No Guarantee of Results

No guarantees are made regarding rankings, conversions, revenue, engagement, advertising performance, or growth.

5. Client Responsibilities & Indemnity

The Client warrants ownership or licensing of all supplied materials and indemnifies JT Designs against all claims arising from client-provided content.

6. Payments & Fees

Fees are payable as agreed. JT Designs may suspend services for late payment and withhold deliverables until payment is received in full.

7. Suspension & Termination

JT Designs may suspend or terminate services immediately for non-payment, breach, or unlawful or unethical use.

8. Limitation of Liability

JT Designs shall not be liable for indirect or consequential damages. Maximum liability is limited to fees paid in the preceding sixty (60) days.

9. Force Majeure

JT Designs is not liable for delays or failures caused by events beyond reasonable control, including load shedding, outages, platform changes, or acts of God.

10. Third-Party Platforms

JT Designs is not responsible for actions, outages, bans, or policy changes by third-party platforms such as Google, Meta, hosting providers, or payment gateways.

11. Intellectual Property

All deliverables remain JT Designs’ property until full payment is received. Upon payment, ownership or license transfers as agreed.

12. Electronic Acceptance

Acceptance via invoice, email, online form, or payment constitutes binding agreement. WhatsApp communications are informal unless confirmed via email.

13. Governing Law & Jurisdiction

This Agreement is governed by South African law. Exclusive jurisdiction lies with the courts of Mpumalanga Province.

14. Severability

If any provision is unenforceable, the remainder remains effective.
